OBJECTIVES/PURPOSE:

Support Head of Executive Compensation and Executive Compensation Lead to drive the appropriate executive compensation process including Directors and Takeda Executive Team (TET) members

Support the process in assessing the competitiveness of the Japan equity programs for Directors and Takeda Executive Team (TET) members based in Japan and participate in assessing the competitiveness of our Executive and Director’s Compensation practices, including working with external consultants, as needed

Prepare documents, spreadsheets, communications, etc. for equity grant process and vesting process

Prepare the materials related to the Japan equity trust(s) including, but not limited to, budgets, forecasts, trust documents, press releases, materials for the Compensation Committee and the Board of Directors (BOD)

Support the annual executive compensation disclosures, materials for the Compensation Committee, and the BOD

Work closely with Legal, Finance, Corporate Strategy Department, CEO office, BOD office, Global Corporate Affairs and Payroll, as it relates to executive compensation and incentive programs and may serve as a technical resource, as needed
ACCOUNTABILITIES:

Support the Japan equity program and the relationship with the Japan trust(s)

Responsible for responding to inquiries regarding Japan equity from Directors, Takeda Executive Team (TET) members, Legal, Finance, consultants and within Global HR (Total Regards and Equity Operations etc.,) and resolving questions

Plan the equity grant and vest process in Japan and coordinate with global equity operations team

Manage and prepare Japan equity grants and vesting documents and process
-
Prepare benchmark data for executive compensation
-
Prepare the materials for disclosures of Director’s Compensation (Business Report, Annual Securities Report, 20-F, and Corporate Governance Report) according to Japanese law

Update internal regulations and SOPs relevant to Executives (Director’s Compensation and Compensation Committee etc.) if needed

Prepare proposals and Q&As for the General Meeting of Shareholders relevant to Director’s Compensation

Prepare materials regarding resolution matters and reporting matters for BOD

Language: Japanese (native level) and English (business fluent level)

More than 5 years of work experience in Executive Compensation, Total Rewards, Tax or Legal
Preferred

Good understanding of Japanese Companies Act, labor law, requirement of corporate governance code

Experience in equity compensation and trust operations, payroll, compensation planning and operations

Knowledge of corporate tax and income tax
