Schroder Investment Management (Switzerland) AG is a fund management company that administers Swiss domiciled collective investment schemes, acts as Swiss representative of foreign collective investment schemes and provides advisory and asset management services to professional clients.
To strengthen our legal team at Schroder Investment Management (Switzerland) AG in Zurich, we are looking for a
Legal Counsel (Limited Contract January – September 2025)
Key responsibilities
· Provides legal advice, guidance and updates in the area of Legal, Regulatory and Governance matters of Schroder Investment Management (Switzerland) AG (“SIMSAG”)
· Acts as a trusted advisor to the business within SIMSAG
· Manages legal issues that arise in assigned area in liaison with manager, with or without close day to day supervision depending on level of experience and specialisation
· Instructs external counsel where needed
More specifically, the duties include:
· Draft, review and update relevant fund documents for Swiss domiciled collective investment schemes
· Coordinate the registration and distribution of foreign collective investment schemes in Switzerland and draft and review respective agreements (e.g. representative and paying agency agreements)
· Draft and review a broad range of investment management and fund related agreements and operational documents (e.g. investment management agreements for collective investment schemes and segregated mandates, distribution and placement agreements, custodian agreements, cooperation agreements, operating memoranda)
· Provide legal advice in all matters relating to the license of SIMSAG as a fund management company
· Manage day-to-day corporate matters relating to SIMSAG
Draft, negotiate and review a broad spectrum of commercial agreements with clients, Schroder entities and service providers (e.g. service legal agreements, marketing agreements, NDAs, etc.)
· Support the General Counsel in a number of legal, regulatory and corporate tasks and projects (including the implementation of regulation and self-regulation)
· Cooperate with various teams throughout SIMSAG and the wider firm (compliance, investment management, operations, accounting, etc.)
· Liaise with Headquarters in London and the fund management company in Luxembourg as well as with outside counsel
· Liaise with authorities (e.g. FINMA) and auditors
Draft, review and update internal policies and procedures
· Support the General Counsel in organising and providing internal training as required
Required profile
· Legal professional with at least 2 years of relevant working experience in the financial industry, preferably with a Swiss fund management company or asset manager, or equivalent experience with a law firm
· Experience with regard to Swiss domiciled collective investment schemes is a strong plus
· Bar exam is not required, but a plus
· Analytical and conceptual skills
· Responsible for planning own workload typically against a backdrop of changing priorities and / or external events
· An understanding of clients and stakeholders needs and relevant communication and influencing skills
· German as mother tongue; fluency in English a must
