Legal Counsel (Limited Contract January – September 2025)
Key responsibilities
· Provide legal advice on Legal, Regulatory and Governance matters relating to Schroders Capital Private Equity
· Act as a trusted advisor to the business within Schroders Capital Private Equity
· Manage legal matters that arise in assigned area in liaison with manager
More specifically, the duties include:
· Manage day-to-day corporate matters relating to Schroders Capital Private Equity with a focus on Schroders Capital Private Equity entities in Switzerland, Luxembourg and China; maintain the legal files and statutory registers, including corporate secretarial work for the Swiss based regulated manager of collective assets
· Draft, negotiate and review a broad range of agreements with service providers and clients, including services agreements, distribution agreement, investment management agreements, NDAs etc.
· Support the General Counsel, the Board and the Management Committees of Schroders Capital Private Equity in a number of legal and corporate tasks and projects
· Write and review guidelines, policies, charters and internal education documentsCooperate with various teams throughout Schroders Capital and the wider firm (Compliance, investment management, operations, HR, accounting, etc.)
Required profile
· Legal professional with at least 2 years of relevant working experience in the financial industry or equivalent experience with a law firm
· Bar exam is not required, but a plus
· Good understanding of Swiss corporate law, the regulatory environment of managers of collective assets as well as private asset investment structures and their operational aspects
· Good organizational and communication skills, team player and the ability to interact and liaise with various departments and handle various matters with conflicting deadlines
· Strong sense of responsibility and risk awareness
· Self-starter, hands-on and flexible attitude to work
· Fluency in German and English is a must
