Job Summary:
Semtech Corporation is seeking a highly skilled and motivated Equity Manager to own the entire Equity Administration function. This role will be responsible for managing equity awards, processing new grants, setting up participants in our equity administration system, and overseeing vesting and option exercises. In the near future, this role will also be tasked with ensuring the smooth transition of our stock administration to a different stock administration platform. The ideal candidate will have a strong background in equity management, exceptional attention to detail, and the ability to handle complex processes efficiently.
Responsibilities:
- Oversee the entire equity administration process and the stock administration platform, including new equity grants, setup of new participants, vesting process, and modifications – 20%
- Communicate with equity plan participants regarding the equity program, resolving questions, issues, and concerns related to vesting, transactions, and other general inquires – 15%
- Ensure equity transactions are reflected timely and accurately in accordance with tax regulations – 10%
- Collaborate with the Accounting team to support recording stock-based compensation expense, financial statement disclosures, and earnings per share calculations – 10%
- Work with internal and external Auditors and Accounting team for quarterly reviews, year-end audits and regulatory audits (as needed) – 10%
- Collaborate with HR team in preparation of quarterly materials for the Board of Directors/Compensation Committee meetings and of annual Proxy Statement – 10%
- Assist in preparation and filing of Section 16 reports (Forms 3, 4 and 5) and tracking of 10b5-1 plans – 5%
- Lead the transition of stock administration to a different platform, including planning, execution, and post-transition support – 5 %
- Ensure compliance with all relevant regulations and internal policies related to equity administration – 5%
- Provide accurate and timely reporting on equity-related matters to senior management and other stakeholders – 5%
- Continuously review and improve equity administration processes to enhance efficiency and effectiveness – 5%
Minimum Qualifications:
- Bachelor’s degree in Finance, Accounting, Business Administration, or a related field.
- A minimum of 5 years of experience in equity administration or a related role.
- Strong understanding of equity compensation plans, including stock options, RSUs, performance-based awards with various metrics and other equity awards.
- Experience with equity administration systems and transitioning stock administration to new platforms.
- Excellent project management skills with the ability to lead complex projects.
- Strong analytical and problem-solving abilities.
- High level of accuracy and attention to detail.
- Strong communication and interpersonal skills.
- Ability to work effectively in a team environment and collaborate with cross-functional teams.
Desired Qualifications
- Certification in Equity Compensation (CEP) is a plus.

A reasonable estimate of the pay range for this position is $117,000-$143,000. There are several factors taken into consideration in determining base salary, including but not limited to: job-related qualifications, skills, education, and experience, as well as job location and the value of other elements of an employee’s total compensation package.
